A For-Profit With a Mission
Liturgia Technologies Corporation was incorporated in Oregon in April 2025 as a digital humanities technology subsidiary of the planned Eastern Liturgical Heritage Institute (ELHI), a 501(c)(3) non-profit organization that will serve as its majority owner.
Both entities will operate as benefit companies under ORS 60.750-60.770, with the purpose of providing a general public benefit and the specific public benefit of the preservation, study, translation, and publication of liturgical texts of the Eastern Nicene Churches in their historical and living traditions through digital humanities methodologies. The non-profit will be classified under NTEE code A70 (Humanities) and the corporation under NAICS 541720 (Research and Development in the Social Sciences and Humanities).
The hybrid approach of a non-profit owning a for-profit subsidiary is a well-known method of preserving the eligibility of donations to the non-profit being tax-deductible, while simultaneously providing it a sustainable source of income for the long-term support of its mission.
However, the establishment of the new kind of entity, a Public Benefit Company, first occurred with the state of Maryland in 2010, and in Oregon in 2013.
The key distinction between a traditional for-profit corporation and a Public Benefit Corporation lies in the fundamental purpose and duties of their boards of directors.
This expanded fiduciary responsibility allows PBC directors to balance profit generation with the organization's stated public benefit missions, creating a legal framework that protects mission-driven decisions from shareholder challenges based solely on financial performance.
For organizations engaged in digital humanities and cultural preservation work, where the specific public benefit of preserving liturgical heritage requires significant long-term investment without immediate financial returns, this structure provides essential protection for sustaining the organization's core mission.
While directors of traditional corporations are legally obligated to prioritize maximizing shareholder value and financial returns, directors of Public Benefit Corporations must consider the impact of their decisions on all stakeholders—including shareholders, employees, customers, the community, and the environment—while pursuing both a general public benefit and any specific public benefits stated in their governing documents.
